Cairnul and Firstbase both help founders organize important company work, but they are built around different parts of the startup journey.

Cairnul vs. Firstbase

Cairnul

Cairnul is an agentic, document-centered platform for first-time founders running early fundraising rounds. It connects SAFEs, investors, advisor agreements, documents, governance, compliance, and the cap table in one workflow built around the first 12 to 18 months of a company's equity life.

Firstbase

Firstbase is a company formation and business operations platform for founders starting and running U.S. businesses. Its products cover company formation, EIN setup, banking support, registered agent services, accounting, tax filing, mailroom services, and ongoing state compliance.

Choosing between them

Which one fits your company?

Choose Cairnul if...

  • You are a first-time founder preparing for or running an early fundraising round.
  • Your immediate priority is organizing and executing the raise rather than setting up the company's broader back office.
  • You want investors, SAFEs, fundraising documents, governance, compliance records, and cap table information connected around the same Round.
  • You want a structured record of the people, terms, documents, approvals, funding activity, and equity information created during the raise.
  • You are bringing on advisors and want the FAST agreement, the board authorization, and the resulting grant tracked in the same record as the raise.
  • You want an AI Startup Advisor that works from your Workspace and the documents relevant to your current workflow, under permissions you set.
  • You are a Delaware C-Corp incorporated on or after July 1, 1996, or you are ready to incorporate as one, raising between $25k and $25m under Rule 506(b) or 506(c).

Choose Firstbase if...

  • You are starting a U.S. business and need company formation as your immediate priority.
  • You want formation in Delaware or Wyoming, as an LLC or a C corporation, with EIN setup, essential company documents, and banking support in one flow.
  • You need ongoing registered agent services, compliance reminders, annual report filings, and state compliance support.
  • You want accounting and tax filing connected to the same business operations platform.
  • You are a founder outside the U.S. setting up a U.S. entity and want the whole administrative stack handled in one place.
  • You want to manage company operations beyond formation through a bundled platform such as Firstbase One.

Neither product is universally better, and for many founders they are sequential rather than alternative. Firstbase is focused on forming and operating the company, including its back office and state compliance, while Cairnul is focused on the fundraising workflow and the records around a raise

Nine differences

Where they differ

Cairnul

Cairnul starts with the fundraising workflow. Investors, SAFEs, documents, approvals, governance, compliance records, funding information, and equity positions remain connected to the same Round, and the company has to exist before any of it begins.

It also has to be a particular kind of company. Cairnul supports Delaware C-Corps incorporated on or after July 1, 1996, because Delaware applies different committee rules to corporations formed before that date and the governance logic depends on which set applies. Entity type and state are eligibility gates rather than fields, so an LLC or a Wyoming corporation cannot use Cairnul at all.

Firstbase

Firstbase starts earlier and covers more entity types. Its Start product forms an LLC or a C corporation in Delaware or Wyoming, with expedited EIN setup, essential post-incorporation documents, and help opening a business bank account.

The practical consequence is worth planning around. If you expect to raise on SAFEs and want Cairnul later, the choice you make at formation matters, because a Wyoming LLC formed today is not a company Cairnul can support.

Cairnul

Cairnul is built around the round itself. The Round holds the exemption, the target, the board-approved ceiling, and the authorized term sets, and each investor moves through accreditation, signature, a cooling-off window, funds confirmation, and countersignature, which is the point a position forms.

Each of those is a gate rather than a note. A SAFE cannot be sent before the board authorization is effective, the investor can withdraw during cooling-off, and the founder confirms funds have arrived rather than the system assuming it from a signature.

Firstbase

Firstbase does not position fundraising or SAFE issuance as a core product area. Its focus is formation and the operational infrastructure required to start and maintain a U.S. business.

For a founder whose immediate need is getting the company formed and operational, Firstbase addresses an earlier requirement. For a founder preparing a first raise, that work has to happen somewhere else.

Cairnul

Cairnul treats documents as evidence behind the fundraising and governance record. Fundraising documents, approvals, compliance records, and supporting materials stay connected to the people and workflows they relate to, and every fact carries its provenance: whether the founder declared it, a document proves it, or the founder confirmed what the system read.

Sharing is controlled at the same level. The Startup Profile and Data Room are separate grants that can each be withdrawn at any time, documents are watermarked per recipient, and downloads happen only when the founder approves them, while what a person signed always stays visible to them.

Firstbase

Firstbase provides the documents and records needed to establish and operate a U.S. company, including formation documents and ongoing business records, with its One package bringing accounting, tax, mailroom, and compliance information into one back-office environment.

The distinction is what the records are for. Firstbase holds the paperwork of a company existing and operating. Cairnul holds the paperwork of a company raising money, and knows what each document authorizes and supports.

Cairnul

Cairnul's compliance work sits inside the raise. The exemption is chosen when the round opens and locks for its life, accreditation is held as a ledger of dated evidence records on the investor's account, verification is required before acceptance under 506(c), and Cairnul prepares Form D and the state notice filings that follow from where each investor lives rather than from where the company is incorporated.

Underneath it, board authorization is computed from the roster as of the action date, confirmed by the founder before the consent is generated, and pinned to the action, so a later change to the board never rewrites what a past approval meant.

Firstbase

Firstbase focuses on operational and state-level business compliance. Its Agent service covers the registered agent requirement, annual report and franchise tax filings, compliance deadline reminders, and foreign qualification.

These are two different obligations that both carry real consequences, and neither product covers the other. Cairnul does not track annual reports or franchise tax, and Firstbase does not run securities filings.

Cairnul

Cairnul does not do accounting or tax, and says so at the points where it touches them. Where a step has tax consequences, it prompts the person to speak to their accountant rather than advising them.

The one place it goes further is the 83(b) election, because the deadline is 30 days and cannot be recovered if missed. Cairnul generates the election form from data it already holds, the advisor supplies what only they can provide, and they download it and file it with the IRS themselves. Cairnul does not transmit the filing or confirm that it happened, which is stated plainly rather than implied.

Firstbase

Firstbase One bundles accounting and tax services into its broader business operations offering, including bookkeeping, financial reconciliation, and federal and state tax filing, with support for forms such as 5472 and 1120.

These answer different questions. How the company keeps its books and files its returns is Firstbase's territory. Whether an advisor's grant creates a 30-day filing obligation is Cairnul's.

Cairnul

Cairnul's cap table is built from three ledgers: issued stock, advisor grants with their own vesting, and SAFEs tagged to the round and exemption they were sold under. Each line traces back to the document that created it, and updating shares or the option pool requires a supporting document attached as justification.

That is what makes the record defensible later. Ownership is not a number someone typed; it is the consequence of an agreement, a consent, and an issuance that can each be opened from the line itself.

Firstbase

Firstbase does not position cap table management as a core product. Its startup setup materials reference a Carta integration for post-incorporation cap table setup, leaving that part of the equity workflow with a specialized provider.

The practical distinction is straightforward. Firstbase hands the cap table to a partner, while Cairnul treats it as the output of the fundraising and advisor workflows it already runs.

Cairnul

Cairnul provides a Workspace and Data Room centered on the raise and the records it creates, with a dashboard of action items that are generated by the workflows that own them rather than typed by hand, and that clear only when the work behind them is verified.

That design is deliberate. A task list a founder can tick off by hand stops describing the state of the company, and the point of this one is that it always does.

Firstbase

Firstbase One is designed around the broader business back office. It combines registered agent services, a premium mailbox, accounting, and tax filing in one package and provides a centralized environment for those operational workflows.

For a founder whose current challenge is executing a raise, Cairnul keeps the workspace close to that process. For a founder who needs an operating layer for accounting, tax, compliance, and physical mail, Firstbase addresses a broader administrative need that Cairnul does not touch.

Cairnul

Cairnul's AI Startup Advisor opens as a side panel on whatever page the founder is working on and is given that page and its object as context, so a question about the round being configured or the consent awaiting signature does not have to be explained first. It works from a fixed, defined set of actions, and it never signs, approves, or files anything.

That ceiling is visible to the founder rather than assumed. The permission screen shows the three acts no setting reaches, which is how a founder can tell the difference between something switched off and something the product will not do.

Firstbase

Firstbase automates operational work such as formation, bookkeeping, financial reconciliation, tax workflows, and compliance reminders, and its accounting product combines automated bookkeeping with human management and direct bookkeeper support.

The difference is what the automation is organizing. Cairnul applies it to the fundraising workflow and its records. Firstbase applies it to the recurring administrative work of running the business.

Cairnul

Cairnul has a free tier and a paid one, and the round is the line between them. Free is where you build the cap table, invite the people involved, and see what the raise will need. Nothing is charged until you open a Round. The paid plan is $110 a month billed yearly, or $130 a month for a short round without an annual commitment.

It is priced per company, never per stakeholder and never as a cut of the raise. The investors and advisors you invite pay nothing to take part, so a round made of twenty small cheques costs the same as one made of two, and the money never passes through Cairnul at all: it moves directly from the investor's bank account to yours.

Firstbase

Firstbase prices formation once and operations on subscription. Firstbase Start is a one-time $399 for formation and EIN setup, with the registered agent billed separately as a required ongoing service, and Firstbase One bundles agent, premium mailroom, accounting, and tax filing at $199 a month billed annually. The individual services can also be bought on their own.

The costs are not really comparable, because they buy different things. The useful comparison is which workflow you are paying to solve: forming and running the company, or running the round.

The real world

What founders are actually asking

What founders are askingReddit, r/startups

A first-time founder posted in r/startups, partway through raising a friends and family round on a 506(b) offering. They had already missed their 83(b) election at incorporation and some California state filing deadlines, and were trying to work out how much of a first raise is pitching and how much is paperwork nobody warned them about.

It is a common position to be in. Most fundraising advice covers the pitch. Very little of it covers what has to be in order before anyone says yes.

how much of it was pitching versus documents? And is there anything you'd get sorted before you start rather than during?

First-time founder, already started to raisereddit.com

The missed 83(b) sits on the formation side and the missed state filings sit on the fundraising side. They are two different products, and most founders will need one of each.

Questions founders ask

Frequently asked questions

No. Firstbase's products cover company formation and ongoing business operations, including registered agent services, accounting, tax, mailroom, and state compliance. Fundraising and SAFE issuance are not core product areas based on the public product information reviewed.

It depends on what you formed. Cairnul supports Delaware C-Corps incorporated on or after July 1, 1996. A Delaware C corporation formed through Firstbase qualifies, and its formation documents feed Cairnul's onboarding, where they propose the entity record and seed the board roster. An LLC, or a corporation formed in Wyoming, does not qualify.

Not as a core product. Its materials reference an integration with Carta for post-incorporation cap table setup, so the cap table sits with a specialized provider rather than inside Firstbase.

Probably, and for different work. Every Delaware corporation needs a registered agent, files an annual report, pays franchise tax, and files returns, and none of that is in Cairnul. Cairnul handles the raise and the equity records it creates, not the recurring obligations of the entity.

It creates the task automatically once the restricted stock purchase agreement is executed, with a real due date, and generates the election form from data already in the workspace. The advisor supplies their taxpayer identification number, downloads the form, and files it with the IRS themselves. Cairnul does not transmit it and does not confirm that it was filed, because a missed 83(b) cannot be corrected later.

Firstbase Start is listed at $399 as a one-time formation fee, with the registered agent service billed separately as a required ongoing cost. Firstbase One bundles registered agent, premium mailroom, accounting, and tax filing at $199 a month billed annually. Individual services are also sold separately.
