Cairnul and LegalZoom both help founders manage important company work, but they are designed around different parts of the startup journey.

Cairnul vs. LegalZoom

Cairnul

Cairnul is an agentic, document-centered platform for first-time founders running early fundraising rounds. It connects SAFEs, investors, advisor agreements, documents, governance, compliance, and the cap table in one workflow built around the first 12 to 18 months of a company's equity life.

LegalZoom

LegalZoom is a broad business formation and legal-services platform for entrepreneurs and small businesses. Its services cover company formation, business documents, contracts, compliance, licenses, annual reports, registered agent services, and other ongoing business needs.

Choosing between them

Which one fits your company?

Choose Cairnul if...

  • You are a first-time founder preparing for or running an early fundraising round.
  • Your immediate priority is organizing and executing the raise rather than forming the company or managing general business administration.
  • You want investors, SAFEs, fundraising documents, governance, compliance records, and cap table information connected around the same Round.
  • You want a structured record of the people, terms, documents, approvals, funding activity, and equity information created during the raise.
  • You are bringing on advisors and want the FAST agreement, the board authorization, and the resulting grant tracked in the same record as the raise.
  • You want an AI Startup Advisor that works from your Workspace and the documents relevant to your current workflow, under permissions you set.
  • You are a Delaware C-Corp incorporated on or after July 1, 1996, or you are ready to incorporate as one, raising between $25k and $25m under Rule 506(b) or 506(c).

Choose LegalZoom if...

  • You are starting a new business and need help choosing and forming an entity.
  • You need LLC, corporation, nonprofit, or DBA formation services, in any state.
  • You want support with business documents, contracts, eSignature, and other legal-service workflows.
  • You need ongoing business compliance such as annual reports, amendments, registered agent services, or compliance alerts.
  • You need help identifying and managing business licenses and permits.
  • You prefer a guided online legal-services experience with access to professional support where offered.

Neither product is universally better, and for many founders they are sequential rather than alternative. Cairnul is focused on the fundraising workflow and the records around a raise, while LegalZoom is focused on forming and operating a business through a broad set of legal and compliance services.

Nine differences

Where they differ

Cairnul

Cairnul starts with the fundraising workflow. Investors, SAFEs, documents, approvals, governance, compliance records, funding information, and equity positions remain connected to the same Round, and the company has to exist first.

It also has to be a particular kind of company. Cairnul supports Delaware C-Corps incorporated on or after July 1, 1996, because Delaware applies different committee rules to corporations formed before that date. Entity type and state are eligibility gates rather than fields, so an LLC or a corporation formed in another state cannot use Cairnul at all.

LegalZoom

LegalZoom starts earlier in the company lifecycle. Its formation products support LLCs, corporations, nonprofits, and DBAs, with guided filing workflows and optional professional services.

That difference is worth deciding at formation rather than discovering later. LegalZoom will form whichever entity suits the business, and most of what it forms is not a Delaware C corporation. If raising on SAFEs is the plan, the entity choice made at the start determines what is available afterwards.

Cairnul

Cairnul is built around the round itself. The Round holds the exemption, the target, the board-approved ceiling, and the authorized term sets, and each investor moves through accreditation, signature, a cooling-off window, funds confirmation, and countersignature, which is the point a position forms.

Each of those is a gate rather than a note. The SAFE cannot be sent before the board authorization is effective, the investor can withdraw during cooling-off, and the founder confirms funds have arrived rather than the system inferring it from a signature.

LegalZoom

LegalZoom does not position fundraising or SAFE issuance as a core business product in the public services reviewed. Its business offering focuses on formation, legal documents, contracts, compliance, and ongoing business services.

For a founder whose immediate need is to form the company, LegalZoom addresses an earlier requirement. For a founder preparing a first raise, that work has to happen somewhere else.

Cairnul

Cairnul generates a narrow set of documents rather than offering a library. It fills four standard, unmodified SAFE forms from a term set the board has authorized, generates the consents that authorize each action, and keeps every document attached to the investor, the round, the evidence behind the sale, and the position it created, with each fact carrying its provenance.

Sharing is controlled at the same level of detail. The Startup Profile and Data Room are separate grants that can each be withdrawn at any time, documents are watermarked per recipient, and downloads happen only when the founder approves them, while what a person signed always stays visible to them.

LegalZoom

LegalZoom provides a much broader library of business and legal documents, including contracts, business forms, eSignature tools, and related legal-service workflows, with AI Doc Assist available for working with certain documents in its Business Operations offering.

The distinction is breadth against depth. LegalZoom covers most documents a business will ever need. Cairnul covers a handful and knows what each one authorizes, what supports it, and who is allowed to see it.

Cairnul

Cairnul's compliance work is tied to the raise. The exemption is chosen when the round opens and locks for its life, accreditation is held as a ledger of dated evidence records on the investor's account, verification is required before acceptance under 506(c), and Cairnul prepares Form D and the state notice filings that follow from where each investor lives rather than from where the company is incorporated.

The distinction between the two kinds of date matters here. Cairnul only marks a task overdue when a real deadline has passed with a consequence outside the product, such as a regulator's filing date, so a red row always means something.

LegalZoom

LegalZoom focuses on broader business compliance. Its services include annual reports, amendments, registered agent services, compliance alerts, and business licensing support.

Neither covers the other. Cairnul does not track annual reports, franchise tax, or registered agent renewals, and LegalZoom does not run securities filings tied to a specific offering

Cairnul

Cairnul handles one narrow class of filing and stores the paperwork for others. It prepares Form D and the state notice filings triggered by investor residence, and its Data Room holds a category for foreign qualification documents, the paperwork a Delaware corporation files to do business in another state. That paperwork is stored and organized; Cairnul does not obtain it.

The boundary is drawn deliberately. Cairnul prepares filings and the founder files them, and the two are separate tasks in the product for exactly that reason.

LegalZoom

LegalZoom provides business license and permit services designed to help businesses identify applicable requirements and manage ongoing licensing obligations.

That makes LegalZoom more relevant when the concern is operating the business legally across its required licenses and permits, which Cairnul does not address in any form. Cairnul answers a different question: whether the offering itself was properly authorized and reported.

Cairnul

Cairnul's cap table is built from three ledgers: issued stock, advisor grants with their own vesting, and SAFEs tagged to the round and exemption they were sold under. Each line traces back to the document that created it, and updating shares or the option pool requires a supporting document attached as justification.

That is what makes the record defensible later. Ownership is never a number someone typed; it is the consequence of an agreement, a consent, and an issuance that can each be opened from the line itself.

LegalZoom

LegalZoom does not position cap table management as a core product in the public business services reviewed. Its offering is formation, legal documentation, and compliance support rather than ongoing equity administration.

For a founder preparing a round, that gap is the practical point. The ownership record a financing creates has to live somewhere, and a formation and legal-services platform is not where it accumulates.

Cairnul

Cairnul's AI Startup Advisor opens as a side panel on whatever page the founder is working on and is given that page and its object as context, so a question about the round being configured or the consent awaiting signature does not have to be explained first. It works from a fixed, defined set of actions, and it never signs, approves, or files anything.

That ceiling is shown rather than assumed. The permission screen displays the three acts no setting reaches, so a founder can tell the difference between something switched off and something the product will not do under any configuration.

LegalZoom

LegalZoom uses AI through Doc Assist alongside guided legal-service workflows, with the emphasis on helping customers work with legal documents and business-service processes.

The difference is what the automation is supporting. Cairnul applies AI within one workflow and its connected records. LegalZoom applies it to a broad set of legal documents and business services.

Cairnul

Cairnul is intentionally focused on the early fundraising and equity lifecycle, and it is explicit about the boundary. Banking, payments, hiring, licensing, and the recurring administration of the entity all sit outside it, as do priced rounds, preferred stock, and employee equity programs.

What sits inside is the raise and the advisor grants alongside it, tracked as ongoing positions rather than completed paperwork, with each grant carrying its own vesting schedule and its own authorization. Where the grant is an option, the option pool has to be recorded with the document behind it before the grant can complete.

LegalZoom

LegalZoom extends beyond formation into ongoing business operations, including annual reports, amendments, registered agent services, licenses, contracts, and other legal and compliance services

For a founder building the company's legal and administrative foundation, LegalZoom covers considerably more ground. For a founder whose immediate challenge is executing a fundraising round, Cairnul is the one that goes deep on it.

Cairnul

Cairnul has a free tier and a paid one, and the round is the line between them. Free is where you build the cap table, invite the people involved, and see what the raise will need. Nothing is charged until you open a Round. The paid plan is $110 a month billed yearly, or $130 a month for a short round without an annual commitment.

It is priced per company, never per stakeholder and never as a cut of the raise. The investors and advisors you invite pay nothing to take part, and the money never passes through Cairnul at all: it moves directly from the investor's bank account to yours.

LegalZoom

LegalZoom prices per service. LLC formation starts at $0 plus state fees on its Basic package, with higher formation packages available, corporation formation starts at $149 plus state fees, and registered agent service is priced separately at $249 a year. Business documents, licensing help, compliance services, and professional support are each priced on their own.

The two are not really comparable on price, because they buy different things and arrive at different moments. LegalZoom charges to bring the company into existence and keep it administratively alive, mostly in one-off fees. Cairnul charges while you are raising, and nothing when you are not, and most founders will end up paying for both.

The real world

What founders are actually asking

What founders are askingReddit, r/startups

A first-time founder posted in r/startups, partway through raising a friends and family round on a 506(b) offering. They had already missed their 83(b) election at incorporation and some California state filing deadlines, and were trying to work out how much of a first raise is pitching and how much is paperwork nobody warned them about.

It is a common position to be in. Most fundraising advice covers the pitch. Very little of it covers what has to be in order before anyone says yes.

how much of it was pitching versus documents? And is there anything you'd get sorted before you start rather than during?

What founders are askingReddit, r/startups

A solo hardware founder asked whether they could raise a small round from friends and family on a standard YC post-money SAFE, or whether everyone involved had to be an accredited investor. They had read contradictory answers and could not work out which was right.

The replies did not settle it. One said the SAFE only works with accredited investors. Another pointed out that Rule 506 permits up to 35 non-accredited investors. A third said it was a non-issue. All of it from people who had raised.

I keep hearing mixed things, some people are saying I cant raise from friends and family via a Y combinator SAFE and they must be accredited investors.

The 83(b) and the California filings are different kinds of obligation, one belonging to forming the company and one to selling securities. Products tend to cover one or the other.

Questions founders ask

Frequently asked questions

No. LegalZoom's core business offering is company formation, legal documents, compliance, licenses, and ongoing business services. Fundraising and SAFE management are not core product areas based on the public information reviewed.

Not as an LLC. Cairnul supports Delaware C-Corps incorporated on or after July 1, 1996, and treats entity type and state of incorporation as eligibility gates rather than fields. A Delaware C corporation formed through LegalZoom qualifies, and its formation documents feed Cairnul's onboarding, where they propose the entity record and seed the board roster.

You could produce documents that way, but the round is more than its documents. The board authorization that has to exist before the SAFE goes out, the accreditation evidence behind each sale, the funds confirmation, the Form D and state notice filings, and the resulting position on the cap table are the parts a template library does not organize.

No. Those are recurring obligations of the entity and sit entirely outside Cairnul, which is one reason many founders will use something like LegalZoom alongside it rather than instead of it.

It computes who has to sign from the board roster as of the action date, shows that set to the founder to confirm before generating anything, and pins it to the action afterwards, so a later board change never rewrites what a past approval meant. The round cannot open, and no SAFE can be sent, until that authorization is fully signed.
