Cairnul and Scalar both work with startup equity information and fundraising-related decisions, but they are built around different problems.

Cairnul vs. Scalar

Cairnul

Cairnul is an agentic, document-centered platform for first-time founders running early fundraising rounds. It connects SAFEs, investors, advisor agreements, documents, governance, compliance, and the cap table in one workflow built around the first 12 to 18 months of a company's equity life.

Scalar

Scalar is a portfolio valuation platform for funds and companies that need valuation, allocation, cap table, and financial modeling workflows. It supports multiple valuation approaches, waterfall calculations, pro forma cap tables, historical valuation records, and full-service valuation services.

Choosing between them

Which one fits your company?

Choose Cairnul if...

  • You are a first-time founder preparing for or running an early fundraising round.
  • Your immediate priority is organizing and executing the fundraising round rather than building a specialized valuation workflow.
  • You want investors, SAFEs, fundraising documents, governance, compliance records, and cap table information connected around the same Round.
  • You want a structured record of the people, terms, documents, approvals, funding activity, and equity information created during the raise.
  • You are bringing on advisors and want the FAST agreement, the board authorization, and the resulting grant tracked in the same record as the raise.
  • You want an AI Startup Advisor that works from your Workspace and the documents relevant to your current workflow, under permissions you set.
  • You are a Delaware C-Corp incorporated on or after July 1, 1996, or you are ready to incorporate as one, raising between $25k and $25m under Rule 506(b) or 506(c).

Choose Scalar if...

  • Your main need is company or portfolio valuation rather than managing the fundraising process itself.
  • You need DCF, public-company comparables, future-exit analysis, backsolve, waterfall calculations, or other valuation methods.
  • You need to model equity allocations and the impact of potential financing rounds using pro forma cap tables.
  • You manage multiple companies or a portfolio and need centralized historical valuation records and reporting.
  • You want self-service valuation software combined with the option to purchase full-service valuation support.
  • You need a high-touch valuation workflow for financing, financial reporting, allocation, or other valuation decisions.

Neither product is universally better. Cairnul is focused on organizing and executing an early fundraising round, while Scalar is specialized in valuation and financial modeling that can support fundraising and ongoing equity decisions.

Nine differences

Where they differ

Cairnul

Cairnul organizes the fundraising round as the central workflow. Investors, SAFEs, documents, approvals, governance, compliance records, funding information, and equity positions remain connected to the same Round, and each investor moves through a defined sequence with a visible next action.

Scalar

Scalar organizes a different workflow around valuation. Its platform supports financial inputs, valuation approaches, allocation methods, cap tables, waterfall calculations, scenario modeling, and historical valuation records.

The practical difference is where the workflow starts. Cairnul starts with executing and recording the fundraising round, while Scalar starts with determining and modeling company or portfolio value. The rest of this comparison is about where those two overlap.

Cairnul

Cairnul does not model value; it bounds the raise. The Round carries a target and a separate board-approved authorized maximum, Cairnul warns as the raise approaches that ceiling, and it blocks a SAFE at send and again at countersignature if it would push the total above the figure the board signed.

It is also deliberately silent where it cannot speak with authority. Where a market comparison range would normally sit, Cairnul says there is not one yet, and that when enough early rounds have run on the platform it will report what its own register shows, labelled as its own. It does not repeat a range from someone else's report, because a borrowed benchmark is exactly the kind of number a founder anchors a real price to.

Scalar

Scalar provides multiple valuation approaches, including public-company comparables, DCF, future-exit analysis, and backsolve, along with allocation and waterfall modeling, and supports pro forma cap tables for evaluating potential financing rounds.

The two therefore answer opposite questions about the same round. Scalar answers what the company or its equity may be worth. Cairnul answers whether what is being offered stays inside what the board approved. A founder who needs the first will not find it in Cairnul, and should not.

Cairnul

Cairnul's cap table is built from three ledgers: issued stock, advisor grants with their own vesting, and SAFEs tagged to the round and exemption they were sold under. Each line traces back to the document that created it, and updating shares or the option pool requires a supporting document attached as justification.

That is what makes the record usable by someone else later, including a valuation provider. Capitalization data that can be tied back to the agreement, consent, or issuance behind it is exactly what a valuation analysis needs as an input.

Scalar

Scalar uses cap tables as inputs to valuation, allocation, waterfall, and scenario modeling, calculating breakpoints and showing how value is distributed across different securities based on capitalization data.

The distinction is one of role. Cairnul maintains the capitalization record as a consequence of the transactions it runs, while Scalar consumes capitalization data to model value and allocation outcomes.

Cairnul

Cairnul keeps the fundraising process connected from preparation through closing, with the people, documents, approvals, compliance records, and equity activity surrounding the Round. Terms are fixed at invitation and travel with that SAFE, so authorizing a new set later never re-prices one already sent.

That design decides one thing deliberately: Cairnul is a record of what was agreed rather than a tool for deciding what to agree to. Choosing a valuation cap is the founder's decision, made before the workflow starts.

Scalar

Scalar's pro forma cap table tools let users consider the implications of pending financing rounds within valuation and allocation scenarios.

That makes the two useful at different moments. Scalar helps a founder or investor reason about the numbers before they commit. Cairnul takes over once the numbers are settled and the round has to actually happen.

Cairnul

Cairnul treats documents as evidence behind the fundraising and governance workflow. Fundraising documents, approvals, compliance records, and supporting materials stay connected to the people and processes they relate to, and every fact carries its provenance: whether the founder declared it, a document proves it, or the founder confirmed what the system read.

Access is controlled at the same level of detail. The Startup Profile and Data Room are separate grants that can each be withdrawn at any time, documents are watermarked per recipient, and downloads happen only when the founder approves them.

Scalar

Scalar centralizes historical valuations and supports versioning, reporting, and supporting valuation information in its online platform, letting users maintain valuation histories across companies and periods rather than relying on separate spreadsheets and PDFs.

The difference is what the history is a history of. Cairnul keeps the record of how ownership came to exist. Scalar keeps the record of what it has been worth over time.

Cairnul

Cairnul does valuations. What it requires before an advisor option grant can complete is the option pool: the size in shares, recorded with the document that supports it. Without a pool the grant cannot finish, and the flow explains what a pool is and that creating or increasing one takes a corporate action.

A valuation is optional on top of that. If a 409A or another recognized valuation document is already in the workspace, Cairnul can read the fair market value and prefill the exercise price, which the founder reviews before the option agreement is generated. If there is no such document, the founder enters the value manually and the grant proceeds normally. Each grant records where the number came from, a document or manual entry, and Cairnul does not run a freshness clock or a renewal workflow around it.

Scalar

Scalar provides valuation consulting and enterprise valuation services alongside its software, supporting portfolio valuation processes and offering full-service valuation work for some or all portfolio companies.

For a founder seeking a valuation opinion, that is Scalar's product and also something Cairnul offers. Cairnul's contribution is narrower: making sure an option grant has a pool behind it and a price the founder has seen and confirmed.

Cairnul

Cairnul's AI Startup Advisor opens as a side panel on whatever page the founder is working on and is given that page and its object as context, so a question about the round being configured or the consent awaiting signature does not have to be explained first. It works from a fixed, defined set of actions, and it never signs, approves, or files anything.

That ceiling is shown rather than assumed. The permission screen displays the three acts no setting reaches, so a founder can tell the difference between something switched off and something the product will not do under any configuration.

Scalar

Scalar automates valuation calculations, allocation analysis, reporting, and modeling workflows within its valuation platform, supporting multiple approaches and allowing valuation information to be updated and rolled forward across periods.

The difference is what the automation is working toward. Cairnul applies AI to the founder's fundraising workflow and its records. Scalar automates specialized valuation and financial modeling tasks.

Cairnul

Cairnul is designed around one user and one stage: a first-time founder running an early round, on post-money SAFEs, under Rule 506(b) or 506(c), with advisor grants alongside it. Advisor options are also the usual reason a company at that stage looks at a valuation at all, since an advisor receives non-qualified options and the exercise price has to come from somewhere.

Everything past that is outside it. A priced round, preferred stock, employee equity programs, and recurring financial reporting all sit beyond what Cairnul is built for.

Scalar

Scalar's positioning is more centered on funds, portfolio valuations, and companies requiring structured valuation analysis, with centralized management across multiple funds and companies and tools for recurring valuation work.

For a founder running a first round, Cairnul's scope is the closer match. For an investor, fund, or company needing recurring valuation and allocation work across a portfolio, Scalar addresses a requirement Cairnul does not touch, and one that most first-time founders will not have for years.

Cairnul

Cairnul has a free tier and a paid one, and the round is the line between them. Free is where you build the cap table, invite the people involved, and see what the raise will need. Nothing is charged until you open a Round. The paid plan is $110 a month billed yearly, or $130 a month for a short round without an annual commitment.

It is priced per company, never per stakeholder and never as a cut of the raise. The investors and advisors you invite pay nothing to take part, and the money never passes through Cairnul at all: it moves directly from the investor's bank account to yours.

Scalar

Scalar does not publish a standard pricing schedule on its product page. It directs prospective customers to request a demo and discuss pricing, and full-service valuation services can be purchased separately from the software.

The two commercial models fit their products. Cairnul is priced per company for a defined workflow, and published in advance so you can decide without a conversation. Scalar is scoped and quoted per engagement, which is normal for valuation work and is also a reason to get a quote before assuming it fits an early-stage budget.

The real world

What founders are actually asking

What founders are askingReddit, r/startups

A first-time founder posted in r/startups, partway through raising a friends and family round on a 506(b) offering. They had already missed their 83(b) election at incorporation and some California state filing deadlines, and were trying to work out how much of a first raise is pitching and how much is paperwork nobody warned them about.

It is a common position to be in. Most fundraising advice covers the pitch. Very little of it covers what has to be in order before anyone says yes.

how much of it was pitching versus documents? And is there anything you'd get sorted before you start rather than during?

What founders are askingReddit, r/startups

A solo hardware founder asked whether they could raise a small round from friends and family on a standard YC post-money SAFE, or whether everyone involved had to be an accredited investor. They had read contradictory answers and could not work out which was right.

The replies did not settle it. One said the SAFE only works with accredited investors. Another pointed out that Rule 506 permits up to 35 non-accredited investors. A third said it was a non-issue. All of it from people who had raised.

I keep hearing mixed things, some people are saying I cant raise from friends and family via a Y combinator SAFE and they must be accredited investors.

Nothing in these threads is a valuation question. What these founders are missing sits in the authorizations and filings, not in the numbers.

Questions founders ask

Frequently asked questions

Not primarily. Scalar is focused on valuation, allocation, financial modeling, and portfolio valuation workflows. Its tools can support financing decisions, but its core product is valuation infrastructure rather than managing the round itself.

No, and it deliberately avoids implying one. Cairnul will not display a market range taken from someone else's report, on the reasoning that a borrowed benchmark is the kind of number a founder anchors a real price to. It records the cap you set, ties it to the consent that authorized it, and keeps the round inside the ceiling the board approved.

No. Cairnul does not perform valuations and does not require one. What it requires before an advisor option grant can complete is the option pool, recorded with the document behind it. If a valuation document is already in your workspace, Cairnul can read the value and prefill the exercise price for you to review; if not, you enter it yourself, and the grant records which of the two it was. Scalar is one of the providers a founder can go to when the valuation itself is what they need.

Yes. Scalar supports pro forma cap tables for considering pending financings and provides valuation and allocation tools showing how different equity values affect ownership and distributions. Cairnul does no modeling of this kind.

When the numbers and the process are separate problems. Scalar or another valuation provider produces the analysis or the report; Cairnul organizes the investors, documents, authorizations, funding, and resulting positions, and is where a valuation document can be used to price an option grant.

Scalar does not publish a standard price on its current product page and directs prospective customers to request a demo. Full-service valuation work is quoted separately from the software, so a founder comparing options should get a quote before assuming it fits an early-stage budget.
